3. Quotations and Conclusion of Contract
The presentation of services and prices on the website is non-binding unless expressly designated as a binding offer. Submitting a request cart or contact form constitutes a non-binding enquiry.
A contract is concluded only upon written acceptance, order confirmation or commencement of the service at the customer's express request. The accepted quotation, order confirmation and any supplementary service descriptions shall be decisive. The contractual language is generally German.
4. Scope of Services
ikunix provides the agreed services professionally and in accordance with the generally accepted state of the art. A specific economic outcome, particular search engine rankings, visitor numbers, sales figures or conversion rates are only owed where expressly agreed in writing.
Services not included in the quotation, subsequent extensions, additional language versions, data migrations, third-party services or fundamental change requests will be quoted separately or charged after prior approval.
5. Customer Cooperation
The customer shall provide all necessary information, content, access credentials, decisions and approvals in a timely and complete manner. The customer warrants that the texts, images, trademarks, data and other content provided may be used and do not infringe any third-party rights.
Delays or additional work resulting from late, incomplete or incorrect cooperation by the customer may result in postponed deadlines and may be charged separately following prior notification.
6. Changes and Additional Services
Change requests made after approval of a concept, design or development stage may affect the price and completion date. ikunix will inform the customer of the expected additional effort before carrying out substantial additional services.
7. Deadlines and Obstacles to Performance
Deadlines are binding only if they have been expressly agreed as binding. Timely cooperation by the customer is a prerequisite.
In the event of unforeseeable circumstances outside the control of ikunix, including network or third-party service outages, security incidents, official measures or force majeure, applicable deadlines shall be extended by a reasonable period.
8. Review, Approval and Acceptance
The customer shall review drafts, test versions and completed services within a reasonable period and report identifiable defects in a comprehensible manner.
Acceptance may take place through express confirmation, publication or productive use. Statutory warranty rights of consumers remain unaffected.
9. Third-Party Providers and Open-Source Components
Services may include libraries, interfaces, plugins, themes, fonts, platforms or third-party services. Their respective licence and terms of use additionally apply to such components.
Changes to or discontinuation of third-party services are outside the control of ikunix.
10. Domains, Hosting, Maintenance and Support
Domain registration is subject to availability and successful registration. The specific scope of hosting, backups, maintenance, support and availability is determined by the respective quotation or agreement.
Completely uninterrupted availability cannot be guaranteed due to maintenance, internet disruptions, security measures and dependencies on third-party providers.
Unless a separate backup service has been agreed, the customer is responsible for maintaining current backup copies of their content and data.
11. Prices and Payment
The prices stated in the quotation or order confirmation apply. For consumers, the total price including all applicable taxes and charges will be shown.
One-off project services may be invoiced in instalments according to project progress. Recurring services are invoiced at the agreed interval.
Unless otherwise agreed, invoices are due for payment without deduction within 14 days. In the event of late payment, the statutory default interest rates apply.
12. Recurring Contracts and Termination
Contract duration, minimum term and billing interval are determined by the quotation.
Where no minimum term has been agreed for a monthly billed service, the contract runs for an indefinite period and may be terminated with 14 days' notice effective at the end of the current billing period.
Fixed-term contracts are renewed automatically only where this has been expressly and transparently agreed. Statutory information and consumer protection requirements apply to consumers.
Notices of termination may be submitted at least by email to office@ikunix.at.
13. Rights of Use
Following full payment, the customer receives the rights of use necessary for the agreed purpose in respect of the individually created work results.
Unless otherwise agreed, this constitutes a non-exclusive right of use without limitation in time or territory for the agreed purpose.
General know-how, methods, non-customer-specific modules, libraries, tools and reusable technical components remain with ikunix.
Source code and editable original files are provided only where this has been expressly agreed.
14. Confidentiality and Data Protection
Both contracting parties shall treat confidential information appropriately and confidentially.
Personal data is processed in accordance with applicable data protection law. Where ikunix processes personal data on behalf of the customer, a data processing agreement will be concluded where required.
15. Warranty
The statutory warranty provisions apply. The customer shall describe alleged defects as precisely as possible and provide the information and access required for inspection.
For business customers, the applicable commercial-law inspection and notification obligations additionally apply.
16. Liability
ikunix shall be liable in accordance with statutory provisions for damage caused intentionally or through gross negligence and for personal injury.
In relation to business customers, liability for property damage and financial loss caused by slight negligence is excluded unless mandatory statutory provisions provide otherwise.
Mandatory statutory liability provisions applicable to consumers remain fully unaffected.
ikunix shall only be liable for content, specifications or infringements originating from the customer's sphere where ikunix itself is at fault.
17. Right of Withdrawal for Consumers
Consumers may have a statutory right of withdrawal or cancellation in relation to distance contracts where the applicable legal requirements are met.
Further details are set out in the separate withdrawal information.
18. Applicable Law and Jurisdiction
Austrian law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the country of their habitual residence.
For disputes with business customers, the court having subject-matter jurisdiction at the registered office of ikunix is agreed as the place of jurisdiction.
Statutory places of jurisdiction apply to consumers.
19. Final Provisions
Should any provision of these Terms and Conditions be wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
The applicable statutory provisions shall take the place of the invalid or unenforceable provision.
